Terms of Service

Overview
These terms govern the website development and maintenance services offered by Firefly Software, LLC ("Firefly," "we," "us") to clients ("you," "Client") through the pricing plans described at fireflysoftware.dev/pricing. By signing a project proposal or making a payment, you agree to these terms.
Individual project proposals may include additional or modified terms. Where a signed proposal conflicts with these terms, the proposal governs.
1. Service tiers and pricing
Standard plan
- Custom website design and development for up to 6 pages
- Copy structure drafted by Firefly, refined with Client input
- 1 round of design revisions before launch
- Hosting and SSL on Firefly-managed infrastructure
- 1 hour per month of content changes after launch
- Google Business Profile setup and optimization
- SEO foundation: meta tags, schema markup, sitemap
Advanced plan
Includes everything in the Standard plan, plus:
- Up to 12 pages with full site architecture
- Full copywriting — Firefly writes all page content, Client approves
- 2 rounds of design revisions before launch
- 2 hours per month of content changes after launch
- Custom functionality (forms, calculators, booking, integrations) as scoped
- Brand guide: color, typography, logo usage documentation
- Priority response — same business day on all requests
Pricing
Prices listed on the pricing page are current as of the date shown and may be updated at any time. Your rate is locked at the price in your signed proposal and will not change during your agreement term.
- Standard monthly: $375/month for 12 months, then $95/month maintenance
- Standard upfront: $4,050 one-time (10% discount), then $95/month maintenance
- Advanced monthly: $625/month for 12 months, then $150/month maintenance
- Advanced upfront: $6,750 one-time (10% discount), then $150/month maintenance
2. Payment terms
Monthly payment structure
The first two monthly payments are due at proposal signing and constitute the project deposit. These cover discovery, research, and initial design work. The remaining ten payments begin on the date the site launches and are billed monthly on that anniversary.
Upfront payment structure
The full project fee is due at proposal signing. The maintenance rate ($95/month Standard, $150/month Advanced) begins on the date the site launches.
Maintenance rate
After the 12-month build period (or immediately after launch for upfront payments), the maintenance rate ($95/month Standard, $150/month Advanced) covers hosting, SSL certificate management, security updates, and the monthly change hours included in your plan. The maintenance rate may be adjusted with 60 days written notice.
Late payments
Payments more than 15 days overdue may result in temporary suspension of hosting and maintenance services. We will provide written notice before any suspension. Access is restored upon payment of the outstanding balance.
3. Scope and revisions
What's included
Each plan includes a defined number of revision rounds before launch and monthly change hours after launch. A "revision round" means a single set of collected feedback applied across the site. Individual change requests after launch are tracked against the monthly hour allotment.
What counts as a monthly change
Copy updates, new photos, team member additions, updated hours or pricing, adding a page section, and similar content modifications. Major redesigns, new page builds, or new custom functionality are scoped and priced separately outside the monthly allotment.
Unused hours
Monthly change hours do not roll over to the following month.
Scope changes
If the project scope grows beyond what is defined in the signed proposal, Firefly will notify the Client in writing before performing additional work. Additional scope is quoted separately and requires written approval before work begins.
4. Ownership and intellectual property
What you own
You own all content you provide (text, images, logos, trademarks) at all times. Upon completion of all payments under the agreement, you own the custom design and site-specific code created by Firefly for your project.
What Firefly retains
Firefly retains ownership of reusable tools, libraries, frameworks, and development processes used across multiple client projects. These are licensed to you for the duration of hosting.
Hosting during the agreement
During the active agreement (build period and maintenance), your site is hosted on Firefly-managed infrastructure. This is integral to the service — hosting, maintenance, and support are bundled, not separable.
File transfer
After all build payments are complete, you may request a full file transfer and DNS migration for a one-time fee of $150. This includes the complete source code, assets, and documentation needed to operate the site independently. Firefly will provide reasonable assistance during the transition.
5. The confidence guarantee
The following guarantee applies to Standard and Advanced website plans (not custom software projects).
What we guarantee
Every website we build is connected to Google Search Console at launch. We document a baseline of organic search visibility on the launch date. If your organic search visibility has not improved meaningfully by the six-month mark after launch, you may invoke this guarantee.
What you receive
The last two monthly build payments are returned as Firefly credit. This credit is valid for 12 months from the date of issuance and may be applied to any Firefly service: additional pages, redesign work, custom development, or other projects.
Conditions
- The guarantee requires that the Client responded to Firefly communications and provided requested assets and approvals in a reasonably timely manner during the build
- The six-month evaluation period begins on the site launch date, not the proposal signing date
- "Meaningfully improved" is measured by organic impressions in Google Search Console compared to the documented baseline
- The guarantee returns credit, not cash refunds
- The guarantee may be invoked once per project
6. Cancellation
During the build period
Either party may cancel with 30 days written notice. All payments made to date are non-refundable as they cover work already completed. Upon cancellation, you retain ownership of content you provided and may request a file transfer of work completed to date for the standard $150 fee.
During the maintenance period
Either party may cancel the maintenance agreement with 30 days written notice. After the final maintenance payment, you may request a file transfer for the standard $150 fee if not previously transferred.
Effect of cancellation
Upon cancellation and expiration of the notice period, Firefly will take the site offline unless a file transfer has been completed and DNS has been migrated. We will provide reasonable notice before any service interruption.
7. Limitation of liability
Firefly Software provides web development and hosting services on a best-effort basis. We do not guarantee specific business outcomes, search engine rankings, lead volumes, or revenue results. The confidence guarantee (Section 5) is the sole and exclusive remedy for dissatisfaction with search visibility performance.
To the maximum extent permitted by law, Firefly's total liability under any agreement shall not exceed the total fees paid by the Client under that agreement.
8. Governing law
These terms are governed by the laws of the State of Montana. Any disputes arising from these terms or related services shall be resolved in the courts of Lewis and Clark County, Montana.
